The Hotel agrees that it will provide Barony of Stierbach with 20 room nights in the pattern set forth below (such number and such pattern, the "Room Night Commitment"):

Based upon GROUP total program requirements as outlined in this Agreement, the Hotel confirms the following group rates exclusive of taxes and/or other applicable charges:

Reservations for the Event will be made by individual attendees directly with reservations at 703-723-9300 or 1-888-287-9400; also by reservation link. 


All reservations must be accompanied by a first night room deposit or guaranteed with a major credit card or by Barony of Stierbach. Hotel will not hold any reservations unless secured by one of the above methods.


Reservations by attendees must be received on or before 04/10/2020 (the "Cutoff Date"). At the Cutoff Date, Hotel will review the reservation pickup for the Event, release the unreserved rooms for general sale, and determine whether it can accept reservations based on a space- and rate-available basis at the Barony of Stierbach group rate after this date. Release of rooms for general sale following the Cutoff Date does not affect Barony of Stierbach’s obligation, as discussed elsewhere in this Agreement, to utilize guest rooms.



The group room rates listed above are net non-commissionable. Barony of Stierbach will advise its designated agency (ies) of these rates and address any resulting agency compensation issues directly with the management of the appropriate agency.



Check-in time commences at 3:00 PM, and check-out time is 12:00 PM. The Hotel will make every effort to accommodate early arrivals and late departures, but no early check-in times or late check-out times can be guaranteed.



The performance of this contract by either party will be excused if acts of God, war, terrorists act, government regulations, disaster, civil disorders, curtailment of transportation facilities, partial or total destruction of the hotel, or other event beyond the control of either party make it inadvisable, illegal or impossible to conduct meetings or to use the services and facilities.



Hotel is committed to providing its guests and associates a smoke free environment. Smoking is not permitted in any guest room, meeting room, or public space anywhere in the hotel. Any guest or attendee in violation of that policy will be assessed a cleaning fee to their room folio or group folio. 


Any changes, additions, stipulations, or deletions, including corrective lining out by either Hotel or Barony of Stierbach, will not be considered agreed to or binding on the other unless such modifications have been initialed or otherwise approved in writing by the other.


Marriott International, Inc. and its subsidiaries offer travelers a choice of three frequent travel programs (each, a "Loyalty Program"): the Marriott Rewards® Program, The Ritz-Carlton Rewards® Program and the Starwood Preferred Guest® Program. Rewarding Events SM ("Rewarding Events") provides points, miles, or other Loyalty Program currency in certain regional markets to eligible Loyalty Program members who book and hold qualifying groups, meetings, and events at participating hotels.


Approximately ten (10) business days after the conclusion of the Event (provided that the Event is not cancelled and Barony of Stierbach otherwise complied with the material terms and conditions of this Agreement), the Hotel will either award points or submit an award for airline miles to the Member identified below.

Rewarding Events is not available in certain circumstances, including (1) for any government employee or official booking a government event (U.S. government event or non-U.S. government event); (2) for any employee of a state-owned or state-controlled entity ("SOE") booking an event on behalf of the SOE; or (3) for any other planner or intermediary when booking an event on behalf of a non-U.S. governmental entity or SOE. Hotels in the Asia Pacific region are restricted from awarding Rewarding Events points or miles to any intermediary booking an event on behalf of any governmental entity or SOE.



The Contact (as identified on page 1 of this Agreement or the Authorized Signer of this Agreement) is eligible to receive Rewarding Events points or airline miles

The Contact (as identified on page 1 of this Agreement or the Authorized Signer of this Agreement) declines or is not eligible to receive Rewarding Events points or airline miles and hereby waives the right to receive an award of points or airline miles in connection with the Event.


The number of points or airline miles to be awarded shall be determined pursuant to the Loyalty Program Terms and Conditions, as in effect at the time of award. The Terms and Conditions are available on-line at, and may be changed at the sole discretion of Marriott International, Inc. at any time and without notice.


The individual identified above to receive either points or airline miles may not be changed without such individual’s prior written consent. By inserting the airline mileage account information, the recipient elects to receive airline miles rather than points. All Loyalty Program Terms and Conditions apply.

The rights and obligations of the Parties under this Agreement will be governed by and construed in all respects under the laws of the state where the Hotel is located, without regard to its conflict of laws principles.




Group shall indemnify, defend, and hold harmless Hotel and its officers, directors, agents, employees and owners from and against any and all demands, claims, damages to persons or property, losses, and liabilities, including reasonable attorneys’ fees and expenses (collectively, “Claims”), to the extent arising out of or caused by the Group’s negligence or willful misconduct in connection with the Event.  This section shall be interpreted without prejudice to any defenses Group may have with respect to any Claim, including (without limitation) any statutory limitations of liability.  The indemnification of Hotel under this section shall apply to the owner of the hotel’s premises, its management company and their respective affiliates.






This Agreement is subject to all applicable federal, state, and local laws, including health and safety codes, alcoholic beverage control laws, disability laws, federal anti-terrorism laws and regulations, and the like.  Hotel and Barony of Stierbach agree to cooperate with each other to ensure compliance with such laws.






The parties agree that, in the event litigation relating to this Agreement is filed by either party, the non-prevailing party in such litigation will pay the prevailing party’s costs resulting from the litigation, including reasonable attorneys’ fees.




Dispute Resolution


The Parties agree that all disputes arising under or related to this Agreement shall be settled by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association and not by litigation, and any award rendered therein may be enforced by any court with jurisdiction thereof.  The Party substantially prevailing in any such arbitration proceeding shall be entitled to an award of reasonable attorney fees.  Any arbitration conducted under this paragraph shall be conducted in the state and county where the Hotel is located.  






The Hotel is committed to complying with obligations applicable to HOTEL under applicable privacy and data protection laws, including to the extent applicable EU data protection laws.


Without limiting the foregoing obligation, (Hotel) has implemented measures designed to: (1) provide notice to individuals about its collection and use of their personal data, including through the Privacy Statement; (2) use such personal data only for legitimate business purposes; (3) provide means by which individuals may request to review, correct, update, suppress, restrict or delete or port their personal data, consistent with applicable law; (4) require any service providers with whom personal data is shared to protect the confidentiality and security of such data; and (5) use technical and organizational measures to protect personal data within its organization against unauthorized or unlawful access, acquisition, use, disclosure, loss, or alteration. 


Barony of Stierbach will obtain all necessary rights and permissions prior to providing any personal data to Hotel, including all rights and permissions required for Hotel, Hotel affiliates, and service providers to use and transfer the personal data to locations both within and outside the point of collection (including to the United States) in accordance with Hotel’s privacy statement and applicable law.  Notwithstanding any other provision, Hotel may use an individual’s own personal data to the extent directed by, consented to or requested by such individual. 


General Terms: 


This Agreement is the entire agreement between the Parties, superseding all prior proposals both oral and written, negotiations, representations, commitments and other communications between the parties and may only be amended or modified in writing by an authorized representative of the Hotel.   This Agreement shall be strictly confidential. No failure by either party hereto at any time to give notice of any breach by the other party or, or to require compliance with, any condition or provision of this Agreement shall be deemed a waiver of similar or dissimilar provisions or conditions. Barony of Stierbach acknowledges that a default under this Group Sales Agreement shall be deemed a default under any other Group Sales Agreement that you may have with Hotel.  Hotel Management may freely assign this Agreement to any subsequent purchaser, successor, assignee, or owner of the Hotel, provided that the assignee fully assumes all liabilities hereunder.  The Group shall not sublet, assign or transfer (hereinafter "Assign" or "Assignment") this Agreement or any portion thereof without the prior written consent of Hotel Management.  Any provision of this Agreement that is deemed unenforceable shall be ineffective to the extent of such unenforceability without invalidating or rendering the remainder of this Agreement invalid.   Each party shall execute such other and further documents as may be necessary to carry out the intention as well as to comply with the provisions of this Agreement. 




When presented by the Hotel to Barony of Stierbach, this document is an invitation by the Hotel to Barony of Stierbach to make an offer.  Upon signature by Barony of Stierbach, this document will be an offer by Barony of Stierbach.  Only upon signature of this document by all parties will this document constitute a binding agreement.  Unless the Hotel otherwise notifies Barony of Stierbach at any time prior to Barony of Stierbach’s execution of this document, the outlined format and dates will be held by the Hotel for Barony of Stierbach on a first-option basis until 01/31/2020  If Barony of Stierbach cannot make a commitment prior to that date, this invitation to offer will revert to a second-option basis or, at the Hotel’s option, the arrangements will be released, in which case neither party will have any further obligations.
